Every Illinois LLC is required to file an annual report each year. Your Illinois LLC Annual Report is due before the first day of your LLC’s anniversary month. If your LLC was established on July 15, 2022, July is the month that marks your anniversary. As a result, your LLC's Annual Report is due before July 1st 2023 the following year.

Illinois charges a late fee of $75 by mail and $125 online. In addition, LLCs will be dissolved after 180 days for failure to file an annual report.

Note

Report is due annually by the end of the month prior to the registration anniversary month. So if you formed or foreign-qualified on February 16th, then your annual report is due January 31

    Shall contain the terms "limited liability company", "L.L.C.", or "LLC".

    Don’t include terms that indicate that you are doing an activity that you are not authorised to do.

    Your name should be ‘distinguishable’ in the Secretary of State records. Adding a punctuation or ‘the’ does not make it distinguishable.

    Don’t use words that makes it seems like you are a governmental entity or has an affiliation.
